BY AGREEING TO THESE TERMS, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND EXPRESSLY AGREE TO THE MANDATORY ARBITRATION AGREEMENT.

If you object to any such changes, your sole recourse shall be to cease using this Website. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. You agree to defend, indemnify and hold harmless Scout Motors, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website including, but not limited to, your User Contributions, any use of the Website's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

All matters relating to the Website, these Terms of Use, the Privacy Policy, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be solely and exclusively governed by and construed in accordance with the internal laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction).

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APPLICATION MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

You and we agree that in the event of any disputes between us, we will first try to resolve it by talking with each other. If we are unsuccessful in resolving our disputes in this manner within a reasonable time period, you and Scout Motors each agree that, to the fullest extent provided by law:

1. Any controversy or claim arising out of or relating to these terms of use, or to any product or service provided under or in connection with these terms of use, will be settled by independent arbitration involving a neutral arbitrator and administered by the better business bureau (“BBB”) under BBB arbitration rules, as modified by these terms of use. BBB rules and fee information are available from us or the BBB. Arbitration is not a court proceeding. The rules of arbitration differ from the rules of court. There is no judge or jury in an arbitration proceeding;

2. Even if applicable law permits class actions or class arbitrations, you expressly waive any right to pursue on a class basis any such controversy or claim against Scout Motors, or any of our respective affiliates, officers, directors, agents, partners, licensors, employees, or predecessors in interest. If multiple claims are joined in one action, some of which would not be subject to arbitration, the latter claims must be stayed until any claims in that action that are subject to arbitration have been resolved. If claims are asserted against multiple parties, some of whom are not required to arbitrate, the claims subject to arbitration must be severed. However, you retain your right to file a complaint with any regulatory agency or commission;

3. In the event that the foregoing arbitration requirements do not apply, you and Scout Motors each waive, to the fullest extent allowed by law, any trial by jury, and a judge will decide any and all disputes; and

4. The parties also agree that the arbitration shall be kept confidential. The existence of the arbitration, any non-public information provided in the arbitration, and any submissions, orders or awards made in the arbitration (together, the “arbitration confidential information”) shall not be disclosed to any third party except the tribunal, the parties, their counsel, experts, witnesses, accountants and auditors, insurers, and any other person necessary to the conduct of the arbitration. Notwithstanding the foregoing, a party may disclose arbitration confidential information to the extent that disclosure may be required to fulfill a legal duty, protect or pursue a legal right, enforce or challenge an award in bona fide legal proceedings.

You can choose to reject this Arbitration Agreement by sending us a written opt-out notice (“Opt-Out Notice”) within thirty (30) days following the date you first agree to these Terms of Use by email to legal@scoutmotors.com or by mail to Scout Motors Inc., Attn: Office of the General Counsel, 1775 Tysons Blvd., 5th Floor, Tysons, VA 22102. If mailed, the Opt-Out Notice must be post-marked no later than thirty (30) days following the date you first agree to these Terms of Use. To be effective, your Opt-Out Notice must contain your name, address, and signature. If you opt out of the Arbitration Agreement, all other parts of these Terms of Use will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any previous, other or future arbitration agreements that you may have with us.

No waiver by Scout Motors of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Scout Motors to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

The Terms of Use, including our Privacy Policy and UGC Terms, constitute the sole and entire agreement between you and Scout Motors regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
